TERMS AND CONDITIONS
Tourism Australia (TA) is excited you are interested in sharing your photos and/or footage with us. Please read carefully the terms and conditions that follow. These TA Content Submission Terms (‘Terms’) represent a binding agreement between you and TA, a statutory authority duly established and existing under the law of Australia.
By clicking the "agree" button and uploading your Content, you (a) acknowledge that you have read and understand these Terms; (b) represent that you are of legal age to enter into a binding agreement; and (c) accept this agreement and agree that you are legally bound by the Terms. If you do not agree to these Terms, do not upload your Content to TA.
- TERM AND TERMINATION
1.1 These Terms begin on the date that you submit your Content and continue in perpetuity unless terminated by TA.
1.2 TA may terminate this agreement for any reason including but not limited to any breach of these Terms by you.
2.1 You grant to TA a non-exclusive, royalty free, perpetual, worldwide licence to use, reproduce, publish, modify, adapt, distribute, store, run, display, creative derivative works from, cause to be seen or heard and communicate to the public the Content across a variety of platforms including but not limited to online, mobile and print.
2.2 TA may sub-license any right or interest granted to it under these Terms without your prior written consent.
- INTELLECTUAL PROPERTY
3.1 TA acknowledges and agrees that you own all right, title and interest in and to the Content you submit, including all intellectual property rights, rights of publicity or privacy and moral rights therein. TA will credit you in its use of your Content.
4.1 Submission of Content to TA is not a guarantee that TA will publish the Content on or in any of the TA platforms. You waive any right to inspect or approve versions or portions of the Content used by TA as contemplated by this Agreement.
5.1 You agree that the consideration received for the rights and permissions granted under these Terms will be the opportunity for the Content to be featured on TA platforms in TA’s sole discretion, the value of which you irrevocably acknowledge. Unless otherwise agreed by TA in its sole discretion, no payment will be made to you for use of the Content.
- REPRESENTATIONS, WARRANTIES AND INDEMNITY
6.1 You warrant that you are the owner of the IPR in the Content or otherwise have permission from the owner of the IPR such that you have the unencumbered right to agree to these Terms and to grant all of the rights you have licensed herein.
6.2 You agree to indemnify and hold TA and its employees and agents harmless from all losses (including legal costs and expenses) arising from any claim or action against TA arising from any unlawful or negligent act or omission or breach of these Terms by you.
6.3 You represent and warrant that you have full power to enter into and perform your obligations under these Terms.
7.1 This agreement is governed by the law in force in New South Wales.
8.1 Content - means the video or audio visual content, footage and photographs you have submitted.
8.2 IPR - means all present and future rights throughout the world conferred by law in or in relation to copyright, trade marks, designs, patents, circuit layouts, plant varieties, business and domain names, inventions and confidential information, and other results of intellectual activity in the industrial, commercial, scientific, literary or artistic fields in your Content, whether or not registrable, registered or patentable.
